Terms of Service

These terms govern use of Abacist. They are written to be read, not to be survived — if something here is unclear, ask us before agreeing to it.
1.This agreement
These terms are between you and Fontainhas Brothers, Lda ("Abacist", "we"). By creating an account or using the service you accept them.
Where you use Abacist on behalf of a company, you confirm you are authorised to accept these terms for it, and “you” means that company.
2.What the service is
Abacist is production accounting software: budgets, purchase orders, approvals, cost reporting, petty cash, vendor and crew records, bank reconciliation and document intake.
It is a tool for accounting professionals, not a substitute for one. Abacist does not provide accounting, tax or legal advice, and figures it proposes — including those extracted automatically from documents — must be reviewed by you before you rely on them.
3.Accounts and access
You are responsible for the accuracy of your account details, for who you grant access to, and for activity under your account. Tell us promptly at hello@abacist.io if you believe an account has been compromised.
Access to a production is granted by that production's administrators. We do not add or remove people from a production on request from anyone other than its administrators.
4.Your data stays yours
You retain all rights to the data you put into Abacist. We claim no ownership of it and do not sell it, share it for advertising, or use it to train models for anyone else.
We process it to run the service for you, as described in the Privacy Policy. You are responsible for having a lawful basis for the personal data you enter about other people, and for telling them how it will be used.
You can export your data while your account is active. On termination the account is archived and access ends; the underlying records are retained where the law requires it, and you can ask us what is held.
5.Acceptable use
Do not use Abacist to:
- break the law, or store data you have no right to hold;
- attempt to access another organisation's data, or probe the service's access controls;
- disrupt the service, including by overloading it or circumventing rate limits;
- upload malware, or content you do not have the rights to;
- resell or white-label the service without our written agreement.
6.Availability and changes
We aim to keep Abacist available and to give notice of planned maintenance, but the service is provided without an uptime guarantee unless we have agreed one with you in writing.
The service evolves. We may add, change or remove features. Where a change materially reduces functionality you depend on, we will give reasonable notice before it takes effect.
7.Fees
Paid plans are billed in advance for the agreed period. Fees exclude VAT and other applicable taxes unless stated otherwise.
If payment fails we will tell you before restricting access, and give you a reasonable opportunity to resolve it.
8.Our intellectual property
The software, its interface and the Abacist name and marks belong to us. Using the service grants you a licence to use it, and nothing more. You may not copy, decompile or create derivative works from it except where the law expressly allows.
9.Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid in that period.
Abacist is a record-keeping tool. Decisions you take on the basis of what it shows you — including filings, payments and approvals — remain yours.
10.Ending the agreement
You may close your account at any time. We may suspend or end access if these terms are seriously or repeatedly breached, or if we are required to by law — with notice wherever giving notice is possible.
Provisions that by their nature should survive termination, including those on your data, liability and governing law, do so.
11.Governing law
These terms are governed by the laws of Portugal, and the Portuguese courts have exclusive jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live.
